Terms of Service

These Terms of Service ("Terms") govern your access to and use of positivecharge.in and any products, content, features and services offered on it. positivecharge.in is operated by GSP Horizon, a partnership firm registered in Andhra Pradesh, India, under the trade name Positive Charge.

By accessing or using the site, joining our waitlist, creating an account, or placing an order, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy and Return and Refund Policy, which are incorporated into these Terms by reference. If you do not agree to these Terms in full, you must not use the site.

1. Who we are

In these Terms, "we", "us" and "our" refer to GSP Horizon. "You" and "your" refer to any individual or entity that accesses or uses the site.

2. Current status of the site

positivecharge.in is currently in a pre-launch phase. At the date of this policy, no product is being sold or dispatched, and no payment is being accepted through the site. The only active service is the collection of voluntary waitlist expressions of interest for our first product, Element 1 — Super Green Blend. Once we begin accepting paid orders, the sale-related clauses in these Terms (Sections 8 through 12) will apply to every order.

3. Eligibility

You may use this site only if you are:

• Aged eighteen (18) years or older;
• Capable of forming a binding contract under Indian law;
• Not barred from receiving our services under any applicable law of the Republic of India;
• Using the site in your personal capacity, or as an authorised representative of a business, and not on behalf of any minor.

By using the site, you represent and warrant that all of the above statements are true. If any of them ceases to be true, you must immediately stop using the site.

4. Waitlist

Joining our launch waitlist is not a purchase, does not create any contract of sale, and does not entitle you to any product, price, discount or preferential access. It is a voluntary expression of interest that permits us to send you a single notification when Element 1 becomes available for purchase. Any purchase you subsequently make is governed by the sale-related sections below.

You may unsubscribe from the waitlist at any time by writing to contact@gsphorizon.com.

5. Account

If we make customer accounts available, you may be required to register with an accurate name, email address and password. You are solely responsible for:

• Maintaining the confidentiality of your login credentials;
• All activity that occurs under your account, whether or not authorised by you;
• Notifying us immediately at contact@gsphorizon.com of any suspected unauthorised access.

We may suspend or terminate any account that, in our reasonable assessment, has been used in breach of these Terms or applicable law, without prior notice.

6. Intellectual property

The following, and all associated goodwill, are the exclusive intellectual property of GSP Horizon, protected under the Trade Marks Act, 1999, the Copyright Act, 1957, and the Design Act, 2000, and any other applicable law:

• The names POSITIVE CHARGE and GSP HORIZON;
• The Positive Charge monogram (the interlocked P+C mark);
• The Positive Charge horizontal wordmark;
• The taglines "Elements of Life." and "Live Charged.";
• The product name Element 1 — Super Green Blend and any subsequent Element naming convention;
• All packaging designs, illustrations, layouts, product imagery, videos, and copy featured on the site or on our packaging;
• All text, graphics, code, colour choices, typography arrangements and the overall look-and-feel of positivecharge.in.

You are granted a limited, revocable, non-exclusive, non-transferable licence to view the site for personal, non-commercial use, and to place orders through it. You are not granted any right to reproduce, republish, upload, post, transmit, distribute, sell, license, adapt, translate, modify or create derivative works of any part of the site or its content without our prior written permission.

Any use of our name, marks, taglines, packaging designs or content in a manner likely to cause confusion, dilute our brand, or misrepresent our position, is a breach of these Terms and may also amount to an infringement actionable under Indian law.

7. User submissions

If you submit any content to us — including reviews, testimonials, photographs, complaints, waitlist entries, or feedback — you:

• Confirm that the content is yours, and that you have the right to share it with us;
• Grant us a worldwide, royalty-free, sub-licensable, transferable licence to use, reproduce, modify, adapt, translate, publish, and display that content in connection with our business, including for marketing, in perpetuity;
• Waive any moral rights in that content to the maximum extent permitted by law;
• Confirm that the content is truthful, not misleading, does not infringe any third party's rights, and does not contain unlawful, offensive, obscene or defamatory material.

We may remove, edit, or refuse to publish any user submission at our sole discretion.

8. Product information and health disclaimer

Our products are classified as Nutraceuticals under FSSAI Category 13.6. They are not medicines, drugs, or medical devices. The information published on positivecharge.in about our products is provided for general information and dietary purposes only.

Important:

• Our products are not intended to diagnose, treat, cure, or prevent any disease.
• Statements made about our products have not been evaluated for the treatment of any disease.
• Individual results may vary. Nutritional and lifestyle outcomes depend on many factors we do not control.
• Our products are not a substitute for a balanced and varied diet or a healthy lifestyle.
• Do not exceed the recommended daily serving.
• If you are pregnant, lactating, planning to conceive, managing a medical condition, or taking prescribed medication, consult a qualified physician before consuming our products.
• Discontinue use and consult a physician if you experience any adverse reaction.

If you consume our product without heeding these warnings, or in disregard of the label instructions, or after concealing a relevant medical condition from your physician, we bear no responsibility and no liability for any resulting harm to the fullest extent permitted by law.

9. Orders, pricing and payment (once we begin selling)

Once we begin accepting orders, the following applies:

• All prices displayed on the site are in Indian Rupees (INR) and are inclusive or exclusive of GST as indicated at checkout.
• We reserve the right to correct any pricing or product-description error, whether before or after an order has been placed. If a correction affects an accepted order, we will notify you and give you the option to cancel and receive a refund of any amount already paid.
• Placing an order is an offer to purchase, which we may accept or decline in our sole discretion. A contract is formed only when we send a written order confirmation.
• Payment must be received in full before we dispatch any order. Payment is processed by third-party gateways, and their terms and privacy practices apply to the payment step.
• We may cancel any order at our sole discretion, including where we suspect fraud, misuse, stock unavailability, delivery-address issues, or breach of these Terms.

10. Shipping

Shipping is governed by our Shipping Policy, published separately on the site, and by the Terms & Conditions of the courier partner used to deliver your order. The title to, and risk in, the goods pass to you at the point the courier records delivery to the address you provided.

11. Returns and refunds

Returns and refunds are governed by our Return and Refund Policy, published separately on the site.

12. Prohibited uses

You must not, and must not permit anyone acting on your behalf to:

• Use the site or any content on it in violation of any applicable law of India or the country from which you are accessing it;
• Attempt to gain unauthorised access to any part of the site, its servers, or any account other than your own;
• Use any automated system — including bots, spiders, scrapers, or crawlers — to access, index, download or copy any part of the site or its data, except for well-behaved search-engine crawlers indexing publicly available pages;
• Reverse engineer, decompile, or otherwise attempt to derive the source code of any part of the site;
• Introduce any virus, worm, Trojan, or other malicious code to the site;
• Use the site to send unsolicited marketing communications, phishing attempts, or spam;
• Resell, re-list, or otherwise re-supply any product purchased from us without our prior written consent;
• Misrepresent your affiliation with us or use our marks in a manner that suggests endorsement, sponsorship, or partnership we have not granted in writing;
• Use the site in a manner that could damage, disable, overburden, or impair any of our systems or interfere with any other user's use of the site.

We reserve the right to investigate suspected breaches and to take any legal, technical, or account-level action we consider proportionate.

13. Third-party links

The site may contain links to third-party websites, apps or services. Those links are provided for convenience only. We do not endorse and are not responsible for the content, availability, privacy practices, or accuracy of any third-party resource, and you access it at your own risk.

14. Warranties and disclaimers

To the maximum extent permitted by applicable Indian law:

• The site and its content are provided "as is" and "as available" without warranty of any kind, express or implied;
• We do not warrant that the site will be uninterrupted, error-free, secure, or free from viruses;
• We do not warrant that any information on the site is complete, accurate, or up to date;
• We do not warrant that any product will meet your individual expectations, health goals, or dietary requirements;
• All implied warranties, conditions, or terms — including of merchantability, fitness for a particular purpose and non-infringement — are disclaimed to the fullest extent permitted by law.

Nothing in this section limits your statutory rights under the Consumer Protection Act, 2019, or any other applicable law that cannot lawfully be excluded.

15. Limitation of liability

To the maximum extent permitted by applicable Indian law, our aggregate liability to you for any and all claims arising out of or in connection with your use of the site or your purchase of any product, whether in contract, tort (including negligence), statute, or otherwise, is limited to the amount you actually paid to us for the specific order giving rise to the claim, or ₹1,000, whichever is higher.

We shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profit, revenue, business, opportunity, data, goodwill, or anticipated saving, whether or not we were advised of the possibility of such damages.

The exclusions and limits in this section do not apply to liability that cannot lawfully be limited or excluded, including liability for fraud or for death or personal injury caused by our gross negligence.

16. Indemnity

You agree to indemnify, defend, and hold harmless GSP Horizon, its partners, employees, contractors, contract manufacturer, and service providers, from and against any and all claims, actions, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with:

• Your breach of these Terms, the Privacy Policy, or the Return and Refund Policy;
• Your misuse of the site or any product;
• Your infringement of any third party's rights;
• Any content you submit to us in breach of Section 7;
• Any misrepresentation you make to us regarding your eligibility under Section 3 or your medical condition under Section 8.

17. Force majeure

We are not liable for any delay or failure to perform any obligation under these Terms where that delay or failure is caused by an event beyond our reasonable control. This includes, without limitation: acts of God; natural disasters; epidemics or pandemics; war, terrorism or civil unrest; strikes and industrial action; failure of internet, telecommunications, banking or courier infrastructure; regulatory action, including FSSAI or customs delays; or any restriction imposed by any government of India or any state within India. We will use reasonable efforts to notify you of any force-majeure event that materially affects an order you have placed.

18. Modifications to the site

We reserve the right to modify, suspend, or discontinue any part of the site — including any product, feature, or content — at any time, with or without notice, without liability to you or any third party.

19. Modifications to these Terms

We may amend these Terms at any time. When we make a material change, we will publish the updated version on this page. The version in effect at the date of your interaction with the site is the version that governs that interaction. Your continued use of the site after publication of an update constitutes your acceptance of the updated Terms.

20. Termination

We may terminate or suspend your access to the site, or any account you hold with us, at any time, with or without notice, for any breach of these Terms or where continued access would, in our reasonable assessment, expose us to legal, regulatory or reputational risk. All sections of these Terms which by their nature should survive termination — including Sections 6, 7, 8, 14, 15, 16, 21 and 22 — will survive.

21. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of India.

The parties will first attempt to resolve any dispute amicably by written correspondence for a period of thirty (30) days from the date one party notifies the other of the dispute in writing.

If the dispute is not resolved within that period, the dispute shall be referred to and finally resolved by arbitration seated at Kakinada, Andhra Pradesh, under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement. The language of the arbitration shall be English. The arbitral award shall be final and binding on the parties.

Nothing in this section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction to protect its intellectual property, confidential information, or urgent commercial interests. Any such application, and any proceeding available to a consumer under the Consumer Protection Act, 2019, shall be subject to the exclusive jurisdiction of the competent courts in Kakinada, Andhra Pradesh.

22. Miscellaneous

• Severability. If any part of these Terms is held by a competent court or arbitrator to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid or unenforceable part will be read down to the minimum extent necessary to make it valid and enforceable.
• No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
• Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms, including in the event of a business sale, merger or reorganisation, without restriction.
• Entire agreement. These Terms, together with the Privacy Policy and Return and Refund Policy, constitute the entire agreement between you and us relating to the subject matter, and supersede any prior representation or agreement.
• Notices. All notices to us under these Terms must be sent to contact@gsphorizon.com and marked "Legal Notice". Notices we send to you will be sent to the email address on file.
• Language. These Terms are drawn up in English. Any translation is for convenience only; the English version governs in the event of any inconsistency.
